Preferred Florist Network, Inc. has filed for Federal Bankruptcy protection under Title 11, Chapter 7 of the United States Code. TTP, Inc. d/b/a Flowers With Gifted Elegance and Lower Forty Gardens, Inc. have also filed for bankruptcy and are entitled to protection. On October 16, 2007, Harvest Management, Inc., was appointed by the United States Bankruptcy Court for the District of New Jersey to act as a consultant to the Chapter 7 bankruptcy trustee, Mr. Joseph Newman, to assist in the sale of the numerous trade names and/or service marks belonging to Flowers With Gifted Elegance and Lower Forty Gardens, Inc. The United States Bankruptcy Court for the District of New Jersey is overseeing the sale process for the future exclusive use of these names and/or service marks. Use of these names has collectively generated approximately five million dollars in floral business annually for each of the past three years.
Harvest Management, Inc., pursuant to an Order of the Bankruptcy Court, will provide support and information to potential buyers of these trade names and/or service marks to assist in the evaluation and appraisal of these floral marketing tools. Remember most of these names or service marks have been consistently in use in particular market places for over ten years. Many have risen to and acquired the all important secondary meaning status needed to fortify their exclusive use by the owner and user of the name and/or service mark. Based upon past sales history, I believe that the ability to use these names (especially by “local” floral companies) will generate even more floral sales for the lucky purchasers.
The sale process is relatively simple. An offer to purchase is made to the Bankruptcy Trustee by filling out the form available on our web site and sending it to Mr. Newman, the Chapter 7 Trustee. Once the offer is accepted by Mr. Newman, his attorney will file the appropriate form with the United States Bankruptcy Court to approve the sale. Once the sale is approved, the Chapter 7 Trustee will convey to the purchaser all rights to the trade name and/or service marks previously used by Flowers with Gifted Elegance and Lower Forty Gardens, Inc. In addition, in order to enable the florist purchasing the name to use of the name immediately and during the busy holiday buying season, Mr. Newman will entertain offers from a purchaser to enter into a temporary licensing agreement during the time period between when the agreement to purchase the name is finalized and the time when the agreement is approved by the Bankruptcy Court.
